The song is a message about how important it is to keep one's thoughts private, because public sharing of them can lead to embarrassment or awkwardness. "A penny for your thoughts" is a reference to the origin of the song, when Cohen was on a panel with the writer and poet Robert Creeley at a poetry reading held on February 16, 1967, in New York City.
